If you are entering into this Agreement on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement. In such a case, the terms "you" and "your" refer to that entity. If you do not have such authority, or if you do not agree to these Terms, you must not use our services.

Vending Machine World LLC reserves the right to refuse service to any individual or business entity at our sole discretion, including but not limited to cases where prior agreements have been violated or where fraudulent activity is suspected.

For the purpose of clarity and legal precision throughout this Agreement, the following terms are defined as follows:

Vending Machine World LLC offers a wide selection of new, refurbished, and pre-owned vending machines including snack vending machines, beverage vending machines, combo units, specialty machines, and commercial-grade equipment suitable for various deployment environments.

Order Placement

Orders may be placed through our website at vendingmachineworldllc.com or by calling our sales team directly at +1 (323) 696-7549. All orders are subject to availability and confirmation. We reserve the right to cancel any order at any time prior to delivery if the product becomes unavailable or if pricing errors occur.

Product Descriptions & Specifications

We make every effort to accurately describe our products, including dimensions, capacity, electrical requirements, and technical specifications. However, Vending Machine World LLC does not warrant that product descriptions are entirely free of errors. Photographs on our website are representative and actual products may vary slightly in color, finish, or included accessories.

• All product specifications are subject to change by the manufacturer without prior notice.
• Refurbished machines are fully tested and restored to working condition, though cosmetic imperfections may be present.
• Customers are responsible for verifying electrical and space requirements prior to ordering.
• Custom configurations or branded wraps may require additional lead time and are non-refundable once production has begun.
• Product availability is not guaranteed until a written order confirmation is issued.

Order Confirmation

Upon successful placement of your order, you will receive an order confirmation via email or phone. This confirmation acknowledges receipt of your order but does not constitute our final acceptance. Final acceptance occurs when the product is shipped or, for local deliveries, when installation is scheduled.

Vending Machine World LLC accepts multiple payment methods to ensure a convenient purchasing experience. All prices are listed in United States Dollars (USD) unless otherwise stated. Sales tax will be applied where required by applicable law.

Accepted Payment Methods

• Major credit cards (Visa, Mastercard, American Express, Discover)
• Bank wire transfers and ACH payments
• Business checks (subject to clearance prior to order processing)
• Financing through approved third-party lending partners
• Net 30 terms for pre-approved business accounts only

Deposits & Full Payment

Orders under $2,500 typically require payment in full at the time of order placement. Orders exceeding $2,500 may require a non-refundable deposit of up to 50% at the time of order, with the remaining balance due prior to shipment or delivery. Specific payment schedules will be outlined in your purchase agreement.

Late Payment & Default

For customers on approved payment terms, invoices are due within the agreed payment period. Late payments are subject to a service charge of 1.5% per month (18% annually) on all outstanding balances. In the event of default, Vending Machine World LLC reserves the right to suspend or cancel any pending orders, recover any delivered equipment, and pursue all available legal remedies for collection of amounts owed.

Financing

Vending Machine World LLC works with select financing partners to offer flexible payment options for qualified buyers. Financing terms, interest rates, and approval are determined solely by the financing partner. Vending Machine World LLC is not responsible for financing decisions and does not guarantee approval. Financed purchases are fully binding upon loan approval and equipment delivery.

Vending Machine World LLC ships vending equipment throughout the continental United States and, by arrangement, to select international destinations. Due to the size and weight of vending machines, all shipments are handled via commercial freight carriers (LTL or FTL), not standard parcel carriers.

Delivery Timeline

Standard in-stock orders are typically processed within 3–7 business days. Freight transit times vary by destination but generally range from 5–14 business days after processing. Custom orders, refurbished units requiring additional preparation, or backordered items may have extended lead times which will be communicated at the time of order.

Shipping Costs

Shipping costs are calculated based on the weight, dimensions, quantity of units, and delivery location. Shipping quotes will be provided prior to order finalization. The customer is responsible for all shipping costs unless a promotional free-shipping arrangement has been agreed to in writing.

Freight Delivery Requirements

• All freight deliveries require a loading dock or forklift access unless liftgate service has been arranged and paid for.
• Customers must inspect all delivered units and packaging for damage before signing the bill of lading.
• Any visible damage must be noted on the delivery receipt at the time of delivery.
• Concealed damage must be reported to Vending Machine World LLC within 48 hours of delivery.
• Failure to note damage at delivery or report concealed damage within 48 hours may void freight damage claims.
• Customers must ensure delivery location is accessible for freight vehicles (minimum 14-foot clearance, paved access road).

Title & Risk of Loss

Title and risk of loss transfer to the customer upon pickup by the freight carrier (FOB Origin) unless otherwise specified in writing. Vending Machine World LLC strongly recommends that customers obtain cargo insurance for high-value shipments.

Given the nature of commercial vending equipment, Vending Machine World LLC maintains a structured return and refund policy to protect both our customers and our business. All return requests must be submitted in writing to our customer service team and are subject to the conditions below.

Return Eligibility Window

• New equipment: Returns accepted within 14 days of delivery for equipment in original, uninstalled, undamaged condition.
• Refurbished equipment: Returns accepted within 7 days of delivery, subject to inspection.
• Special orders & custom units: All sales are final. No returns or exchanges accepted.
• Parts & accessories: Returns accepted within 30 days for unused, unopened items in original packaging.
• Consumables & coils: Non-returnable under any circumstances.

Return Process

1. 1.Contact our returns department at +1 (323) 696-7549 to obtain a Return Merchandise Authorization (RMA) number.
2. 2.Equipment must be returned in its original packaging with all accessories, manuals, and components included.
3. 3.The customer is responsible for all return shipping costs, including freight charges.
4. 4.Equipment must be returned within 10 business days of RMA issuance.
5. 5.Upon receipt and inspection, we will notify you of the approved refund amount.

Restocking Fees

Approved returns are subject to a restocking fee of up to 25% of the original purchase price to cover inspection, reconditioning, and re-warehousing costs. This fee will be deducted from your refund. Refunds are issued via the original payment method within 10–15 business days of final inspection approval.

Vending Machine World LLC stands behind the quality and performance of its products. We offer the following warranty coverage to give our customers confidence in every purchase.

What the Warranty Covers

• Defects in materials and workmanship present at the time of delivery
• Mechanical failure of vending mechanisms under normal operating conditions
• Electronic control board and display failures not caused by power surges or misuse
• Refrigeration system failures in refrigerated units (new equipment only)

What the Warranty Does Not Cover

• Damage resulting from improper installation, modification, or unauthorized repairs
• Normal wear and tear including coin mechanism wear, motor brushes, and belts
• Damage caused by vandalism, misuse, accidents, or Acts of God
• Damage resulting from improper electrical supply, power surges, or inadequate ventilation
• Cosmetic damage including scratches, dents, and fading
• Products with altered, defaced, or removed serial numbers
• Lost revenue or consequential damages resulting from machine downtime

Warranty Claims Process

To initiate a warranty claim, contact Vending Machine World LLC at +1 (323) 696-7549 with your order number, machine serial number, and a description of the issue. We may require photographic or video evidence of the defect. Approved warranty repairs will be completed at our facility or via authorized field technicians at our discretion. Labor warranty claims require the equipment to be accessible during normal business hours.

Where Vending Machine World LLC provides installation, maintenance, or technical services, the following terms apply in addition to all other provisions of this Agreement.

Customer Responsibilities Prior to Installation

• Customers must ensure the installation site meets all electrical requirements specified for the equipment (typically 110V/15A dedicated circuit for standard units).
• The installation area must be level, dry, and free of obstructions prior to the technician's arrival.
• Adequate ventilation (minimum 6 inches clearance on all sides) must be provided for refrigerated units.
• The customer is responsible for obtaining any permits or landlord approvals required for installation.
• Water connections for water-dispensing units must be installed by a licensed plumber and meet local code requirements.

Service Visit Policy

Service appointments are scheduled during normal business hours (Monday–Friday, 8:00 AM – 6:00 PM local time). Emergency service requests may be accommodated at additional cost. Customers must ensure that authorized personnel are present to provide access at the scheduled time. A cancellation or no-show fee of $75 may apply for appointments cancelled with less than 24 hours notice.

Third-Party Service Providers

Any service, repair, or modification performed by a technician not authorized by Vending Machine World LLC will immediately void the applicable warranty. Vending Machine World LLC is not responsible for damage caused by unauthorized service work. Customers must notify us before allowing any third party to service equipment under an active warranty.

Your use of the Vending Machine World LLC website and services must comply with all applicable federal, state, and local laws. The following uses are expressly prohibited:

• Submitting false, misleading, or fraudulent orders or inquiries
• Using automated systems, bots, or scrapers to access or extract data from our website
• Attempting to gain unauthorized access to our systems, databases, or customer information
• Engaging in any activity that interferes with or disrupts the website's operation or server infrastructure
• Impersonating Vending Machine World LLC, its employees, or any customer
• Reselling our products without prior written authorization where prohibited by our reseller agreement
• Using our equipment for any purpose that violates local health codes, zoning ordinances, or applicable regulations
• Operating our vending machines in hazardous environments not disclosed at the time of purchase

Vending Machine World LLC reserves the right to suspend or permanently ban any customer found to be in violation of these use terms without prior notice and without liability for any resulting disruption to their business.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENDING MACHINE WORLD LLC, ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Business interruption or downtime losses
• Damage to reputation or goodwill
• Personal injury or property damage not directly caused by our proven negligence
• Losses resulting from equipment malfunction, theft, vandalism, or power failures

IN NO EVENT SHALL VENDING MACHINE WORLD LLC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO ANY PURCHASE OR SERVICE AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

All content on the Vending Machine World LLC website, including but not limited to text, graphics, logos, photographs, video, audio, data compilations, software, and the overall design and layout, is the property of Vending Machine World LLC or its content suppliers and is protected by United States and international intellectual property laws.

You may not reproduce, duplicate, copy, sell, resell, or exploit any content from our website for commercial purposes without express written permission from Vending Machine World LLC. The Vending Machine World LLC name, logo, and all related marks are trademarks of Vending Machine World LLC and may not be used in connection with any product or service without our prior written consent.

Customers may use product images and descriptions solely for the purpose of reselling Vending Machine World LLC products under an authorized reseller agreement. Unauthorized use of our intellectual property may result in legal action including injunctive relief and claims for damages.

Binding Arbitration

If the dispute cannot be resolved through informal negotiation, both parties agree that the dispute shall be submitted to binding arbitration administered by a mutually agreed arbitration provider in Los Angeles County, California. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits, provided the action remains in that court and is not removed to or transferred to another court.

These Terms and Conditions and any dispute arising out of or related to these Terms or your use of Vending Machine World LLC's products and services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. You waive any objection to the laying of venue in such courts and waive any claim that any proceeding brought in such courts has been brought in an inconvenient forum.

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of our products or services or these Terms must be filed within one (1) year after such claim or cause of action arose, or such claim or cause of action shall be forever barred.

Vending Machine World LLC reserves the right to modify, update, or replace these Terms and Conditions at any time at our sole discretion. Changes will be effective immediately upon posting to our website at vendingmachineworldllc.com unless otherwise stated.

We will make reasonable efforts to notify existing customers of material changes to these Terms via email or a prominent notice on our website.
